Dear Members,
On 01 July 2024 the Office of Fair Trade (OoFT) introduced new requirements for grievance procedures for incorporated associations. This was to ensure associations have a defined and formal process to handle internal conflicts and help parties resolve them before legal costs are incurred. Therefore, to ensure ACLCA maintains compliance with section 47A of the Association’s Incorporation Act, update of the ACLCA Constitution was proposed to adopt the grievance procedure provided by the OoFT. Per our Constitution, a Special Resolution is required to amend the rules of the association.
To facilitate this update, the following resolution is proposed as a special resolution, specifically to update the following sections of our Constitution:
- Cessation of membership: Section 8.(1)(e) – reference to Grievance Procedure [Section 14]
- Section 14 Grievance Procedure – Added to Constitution
As per Items 27 and 28 of the Constitution, the Secretary gives notice that at the Christmas Party on 05 December 2024, a Special General Meeting will be held for the membership to vote upon the proposed update to the Constitution.
Please see below for procedures relating to the Special General Meeting
- The president or, in the president’s absence, the vice-president, will preside over the Special General Meeting as chairperson an initiate a vote upon the above resolution.
- In order to ratify the proposed resolution, 75% of members present ratify the update, the Constitution will be updated.
- Note voting is limited to Ordinary Members of the associate and one vote per ordinary member (i.e. one vote per member company).
- Each member is to be entitled to appointment of another member as proxy by notice given to the Secretary no later than COB on 04 December by completing the attached form.
In preparation for this, we kindly ask that you review the proposed change to the Constitution (in particular Section 14), currently located on the ACLCA website, prior to the Christmas Party on the 5th of December.
